Independent Contractor Agreement

This Independent Contractor Agreement (“Agreement”) is between the Battlefield Basketball Officials Association (“BBOA” or “Association”) and [Contractor’s Full Name] (“Contractor”). The parties agree to the following terms and conditions:

1. ENGAGEMENT OF SERVICES

a. The Association hereby engages the Contractor to provide basketball o?iciating services (“services”) for games and events as scheduled and assigned by the Association.

b. The Contractor agrees to perform the services in a professional manner and to comply with all rules, regulations, and guidelines set forth by the Association and relevant basketball governing bodies, including BBOA’s Code of Professionalism, Conduct, & Ethics.

2. INDEPENDENT CONTRACTOR STATUS

a. The Contractor will operate as an independent contractor and not as an employee of the Association. Nothing in this Agreement will be construed to create an employer-employee relationship, partnership, or joint venture between the parties.

b. The Contractor will not be entitled to any form of insurance, including workers’ compensation insurance, or benefits such as health insurance, retirement plans, or paid time o?, etc. from the Association.

c. The Contractor shall have no authority to bind the Association in any manner or make any representations on behalf of the Association.

3. TERM

a. This Agreement will commence on the day last executed by a party and will continue until terminated by either party.

b. Either party may terminate this Agreement with or without cause at any time.

4. DUTIES

a. Assignment of Games – Games to be o?iciated shall be assigned to the Contractor according to procedures set forth by BBOA.

b. Time Requirements – The Contractor shall devote during all games assigned by BBOA, his/her time, energy, and skill to the duties of the services to be provided and comply with all procedures implemented by BBOA to track and account for games o?iciated by sports o?icials.

c. Training of New Officials  The Contractor shall assist with on-the-job training to new o?icials during youth games at the direction of BBOA.

d. Equipment – The Contractor shall provide all personal apparel and equipment necessary to o?iciate said games. Equipment and apparel shall conform to standards promulgated by BBOA.

INDEPENDENT CONTRACTOR AGREEMENT

e. Certification – The Contractor shall maintain certification or accreditation from a nationally or state-wide recognized body which provides certification or accreditation of basketball o?icials and or BBOA. The Contractor shall produce proof of such certification or accreditation upon request of BBOA. Alternatively, the Contractor may undergo o?iciating training provided by BBOA in lieu of such certification or accreditation. BBOA may charge a reasonable fee for such training.

5. COMPENSATION

a. The Association will ensure the Contractor is timely paid for all games o?iciated. Game fees will be established annually and will be clearly communicated to o?icials before the assignment of any games. Game fees will also vary by the level of basketball (e.g. varsity, JV, middle, etc.). Payment will be made by electronic funds transfer (EFT) via ArbiterSports, BBOA’s sports o?iciating software of record, no later than 45 days from the conclusion of each school’s season in which the Contractor o?iciated games. This same pay schedule shall apply if either party terminates the Agreement prematurely before the season concludes.

b. Should the Contractor accept a game assignment and later indicate the inability to o?iciate it (“turnback”), administrative fees will apply and shall be deducted from the Contactor’s pay. Such fees may change from year to year and will be clearly shared with Contractor before the start of each season and will vary based on the timing of notice given to BBOA.

6. MEMBERSHIP

a. The Contractor is required to pay annual dues to become and remain a member of BBOA. Such dues may change from year to year and will be clearly listed on the website prior to each season’s start. Rather than requiring prepayment, BBOA will withhold dues from the Contractor’s pay.

7. INDEMNIFICATION AND HOLD HARMLESS PROVISION

a. The Contractor agrees to indemnify and hold harmless BBOA, Leslie Bullock, any agents—to include BBOA committee members—or contracting organizations of BBOA, and assigns from all claims, liabilities, damages, expenses, or other legal remedies resulting from any illness, injury, or adverse condition received while traveling to or from, or o?iciating in, any contest scheduled by BBOA and which may arise out of and during the performance of the Contractor’s duties and services.

b. All claims for unemployment benefits and/or claims for worker’s compensation benefits are hereby expressly waived by the Contractor who agrees to maintain separate policies of liability, health, and accident

insurance as may be necessary or required by BBOA in connection with performance of its duties.

8. CONFIDENTIALITY

a. The Contractor agrees to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement

b. “Confidential Information” refers to all non-public, proprietary, and sensitive information disclosed to the Contractor by BBOA, whether in written, oral, or electronic form, including but not limited to business plans; financial data; Independent Contractor Agreement terms, compensation and fee rates; o?iciating contract terms and game fees; and any other information that is designated as confidential or that, by its nature, should reasonably be understood to be confidential.

c. The Contractor agrees not to disclose, share, or communicate any Confidential Information to any third party, including but not limited to competitors of BBOA, without the express written consent of BBOA ownership. The Contractor further agrees to take all reasonable measures to protect the confidentiality of such information.

9. GOVERNING LAW

a. This Agreement will be governed by and construed in accordance with the laws of the Commonwealth of Virginia.

10. PROFESSIONAL RESPONSIBILITY

a. Nothing in this Agreement shall be construed to interfere with or otherwise a?ect the rendering of services by the Contractor in accordance with his/her independent and professional judgment.

b. The Contractor agrees to keep BBOA updated on any changes to personal information such as addresses, telephone numbers, e-mail addresses, etc. and that failure to do so may result in delayed payments or missed game assignments.

11. ENTIRE AGREEMENT

a. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, written or oral, relating to the subject matter hereof.

b. No amendment or modification of this Agreement will be valid unless in writing and signed by both parties.

12. AGE REQUIREMENT

a. The Independent Contractor states and a?irms that they are over eighteen (18) years of age and that they have the capacity to execute contracts. If under 18 years of age, Independent Contractor and parent/legal guardian must agree and sign.
